When to use this template

Use it for a contract negotiation session — drafting call, redline review, commercial term-sheet meeting, vendor agreement, NDA back-and-forth, customer MSA. The structure handles both sides' positions per issue and tracks what each side conceded. For mediation that ends with settlement, see Mediation & Settlement. Fields captured

  • Agreement or deal name — the deal or document being negotiated.
  • Parties — name and side per party.
  • Open issues — each issue with our position, their position, and status.
  • Agreed points — items both sides have signed off on.
  • Concessions made — who made each concession.
  • Remaining sticking points — issues still open at the end of the conversation.
  • Key language or clauses discussed — clause numbers or quoted language worth tracking.
  • Timeline or deadlines — internal and external deadlines (closing, signing, response dates).
  • Next steps — concrete tasks with optional owner and due date (a follow-up draft to send, an answer to provide, etc.).
  • Key takeaways — the AI's prioritized summary points.
